Bertram K. Massing
Bertram K. Massing is the head of Beverly Hills, California based Ervin, Cohen & Jessup LLP Business and Corporate Law Department and is a member of the Executive Committee of the firm. Mr. Massing focuses on corporate, corporate finance and securities matters, with special emphasis on mergers and acquisitions, including tax-free reorganizations, earnouts, leveraged buyouts, recapitalizations and more exotic acquisition modes. He also has broad and extensive experience in corporate governance, including disclosure and director and officer indemnification, and corporate transactions, including initial and secondary public offerings of equity and debt securities, venture capital financing, private placements, Rule 144A offerings, executive compensation (including equity incentive plans) and SEC compliance.
In 1960, Mr. Massing received his Juris Doctorate degree from the University of Southern California, where he was a member of the Order of the Coif and the Southern California Law Review. Mr. Massing received his Bachelor of Science degree in Business Administration from UCLA in 1955, graduating cum laude. He practiced public accounting with a Big Eight (now Final Four) accounting firm from 1955 through 1960, including four years while attending USC Law School, and holds an inactive Certificate as a Certified Public Accountant.
Mr. Massing is a member of Business Law Section of the State Bar of California and a member of the Executive Committee of the Business & Corporations Law Section of the Los Angeles County Bar Association, which he chaired in 1988-1989. The Section honored Mr. Massing with the 2000 Marvin Greene Award for his long and devoted service to the Los Angeles legal community, the Section and the Bar Association. He frequently serves as moderator, panelist, instructor and author of publications in continuing legal education programs sponsored by University of Southern California, California Continuing Education of the Bar, Los Angeles County Bar Association and State Bar of California, Business Law Section.
Albert C. Smith
